Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Almonax intelligence platform ("Service"), operated by Almonax LLC ("Almonax," "we," "us"). By accessing or using the Service you agree to be bound by these Terms.

If you do not agree, do not use the Service. You must be 18 years or older to use the Service.

Almonax provides AI-generated intelligence reports synthesized from a curated corpus of publicly available data sources (including but not limited to industry newsletters, deal databases, and verified public records). Reports are intended for informational purposes only and should not be the sole basis for investment, hiring, or other consequential decisions.

You may need to register an account to use certain features. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your account credentials and for any activity occurring under your account.

Almonax uses a credit-based payment model. Purchases of credits are processed via Stripe. By initiating a purchase you authorize us (through Stripe) to charge your selected payment method for the agreed amount.

No refunds on consumed credits. Credits, once used to generate a report, are non-refundable. Unused credits in your account remain available indefinitely while your account is in good standing. We reserve the right to expire credits in accounts inactive for 12+ months upon 30-day notice.

Autobuy. If you enable autobuy, you authorize automatic recurring charges to your payment method when your balance drops below the threshold you configure. You may disable autobuy at any time from your Account page; changes take effect immediately.

Pricing changes. We may change credit prices, report costs, or the exchange rate between dollars and credits at any time. Existing credit balances are unaffected; the rate at time of purchase is what you receive. Changes apply to future purchases only.

By using the Service, you grant Almonax a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, store, modify, train AI models on, derive aggregate insights from, and otherwise process:

• Your queries (the topics and questions you submit)
• Your generated reports (the output Almonax produces for you)
• Your feedback ratings (thumbs up/down, comments, edits)
• Your usage patterns (what report types you run, frequency, library organization)
• Any sources you contribute (newsletters, websites, RSS feeds you add to track)

We use this data to improve the Service for all users, including model training, prompt optimization, report-template refinement, and aggregate market-signal analysis.

Your individual usage data remains private. We do not share your individual queries, reports, or account information with other Almonax users or third parties except: (a) in anonymized, aggregated form that cannot reasonably be linked back to you; (b) within a Team if you join or create one and explicitly authorize sharing; (c) with our service providers (Stripe, Supabase, PostHog, Anthropic, Perplexity) as needed to operate the Service; (d) as required by law.

Teams sharing (when available). If you create or join a Team, you authorize bidirectional sharing of designated content (queries, reports, watchlists, projects) with other Team members. Team sharing is opt-in and configurable. Leaving a Team revokes future-shared content but does not unshare content already accessed by other members.

You own your queries. The topics, questions, and instructions you submit to the Service are yours.

You are licensed to use the reports generated for you. Almonax grants you a perpetual, non-exclusive license to use, reproduce, and distribute the reports Almonax generates for you for any lawful purpose, subject to the Acceptable Use rules in Section 8.

Almonax owns the platform. The Service software, infrastructure, corpus, models, prompts, templates, and aggregated insights remain Almonax's property.

The Service synthesizes information from publicly available sources including industry newsletters, deal databases, and other public records. Almonax does not claim ownership of source material; we exercise fair-use rights for analysis, summarization, and aggregation. Where our reports include direct quotations or distinct passages from third parties, we attribute them.

We may add, remove, or modify our source coverage at any time.

You agree NOT to:

• Scrape, copy, or systematically extract the Service's data corpus or reports
• Resell Almonax-generated reports as your own work product without substantive modification or value-add
• Use the Service to generate misleading, defamatory, illegal, or harmful content
• Attempt to reverse-engineer, decompile, or extract source code or models
• Bypass rate limits, daily caps, or other technical restrictions
• Share your account credentials
• Use the Service to compete with Almonax directly
• Submit queries containing personal data of third parties without their consent (especially health, financial, or biometric data)

While the Service is in beta:

• Features may change, be added, or be removed without notice
• Report quality may vary as we tune models and prompts
• No service level agreement (SLA) is offered
• We may use beta-period queries and reports more liberally for system improvement (Section 5)
• We may discontinue any or all beta features without compensation beyond unused credit balance

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

Almonax reports synthesize public information at scale using AI. Outputs may contain errors, omissions, or AI-generated inaccuracies. You should independently verify any factual claim, name, valuation, or recommendation before acting on it. Almonax is not a registered investment advisor, recruiter, or legal counsel; nothing in our reports constitutes investment advice, employment counsel, or legal advice.

To the maximum extent permitted by law, Almonax's total aggregate liability arising out of or related to the Service shall not exceed the greater of (a) the amount you paid Almonax in the 12 months preceding the claim, or (b) one hundred dollars ($100).

Almonax shall not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.

You agree to indemnify and hold harmless Almonax LLC and its officers, directors, employees, agents, and affiliates from any claim arising out of (a) your use of the Service in violation of these Terms, (b) your decisions made in reliance on Service outputs, or (c) your violation of any third-party right (including intellectual property or privacy rights).

You may terminate your account at any time by contacting hello@almonax.com or via the Account page when self-service termination is available.

We may suspend or terminate your access at any time, with or without cause, with or without notice, including for any violation of these Terms. Upon termination, unused credits are forfeited unless we provide a refund in writing.

We may modify these Terms at any time. Material changes will be communicated via email and/or prominent notice on the Service at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising from or related to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in Wilmington, Delaware, except that either party may seek equitable relief in a court of competent jurisdiction for claims of intellectual property infringement.

You agree to bring any dispute on an individual basis only — not as a class, consolidated, or representative action.
